Energy minister announces interim Board at Ontario Power Generation

QUEEN'S PARK, Dec. 10 - Energy Minister Dwight Duncan today announced the names of a new interim Board of Directors for Ontario Power Generation (OPG). The Board will perform standard corporate functions while the government considers the future of the Company. OPG is a provincially-owned business corporation, which, along with Hydro One, was created after the break up of Ontario Hydro in 1999. The Company is charged with managing and operating Crown electricity generation assets. "We're doing things differently than the previous government to improve the value Ontarians get for the money they invest in their public services," said Minister Duncan. "There are big decisions ahead of us and we are acting decisively as sole shareholder of OPG to protect the interests of the people in this province. In the meantime, we are ensuring that a Board is in place, which can discharge the obligations of a publicly-owned company." Three people have been appointed to form the interim Board. They are the Honourable Jake Epp; Ian Ross, lawyer and Corporate Director; and Kathryn Bouey, Secretary and Deputy Minister, Management Board of Cabinet, and Chair of the Civil Service Commission for the Government of Ontario. Jake Epp will serve as Chairman. Last week, the McGuinty government released the findings of the Pickering "A" Review Panel. The findings of the Report pointed to mismanagement of the Pickering "A" restart project. In response to the report, the government accepted the resignations of OPG's Chairman, Chief Executive Officer and Chief Operating Officer, and has also accepted the resignations of all remaining Board Directors. In addition, as part of its enhanced oversight of the Company, the government took over a number of management responsibilities by shareholder declaration, in effect requiring all material decisions to be approved directly by the shareholder. "This is just another step we are taking to ensure that confidence is restored in Ontario's electricity system," added Minister Duncan. Backgrounder ------------------------------------------------------------------------- OPG INTERIM BOARD MEMBERS: BIOGRAPHIES The Honourable Jake Epp, Chairman The Honourable Jake Epp was a Member of Parliament for the riding of Provencher, Manitoba from 1972 to 1993. During his political career he held three Cabinet posts: Minister of Indian and Northern Affairs; Minister of Health and Welfare; and Minister of Energy, Mines and Resources. From 1993 to 2000, Mr. Epp was Vice-President of TransCanada Pipelines Ltd. Ian Ross Ian Ross served at the Richard Ivey School of Business at the University of Western Ontario from 1997 to September 2003. Most recently he held the position of Senior Director, Administration in the Dean's Office, and was also Executive in Residence for the School's Institute for Entrepreneurship, Innovation and Growth. He has served as Governor and President and CEO of Ortech Corporation; Chairman, President and CEO of Provincial Papers Inc.; and President and CEO of Paperbound Industries Corp. Mr. Ross currently serves as an Officer and/or Director for a number of corporations including World Heart Corporation, Working Ventures Canadian Fund Inc., PetValue Canada Inc., Comcare Health Services and Praeda Managements Systems. He is also a member of the Law Society of Upper Canada. Kathryn Bouey Kathryn Bouey is currently the Secretary of Management Board of Cabinet; Deputy Minister of Management Board Secretariat and Chair of the Civil Service Commission for the Government of Ontario. From 1999 to 2000, Ms. Bouey was Deputy Minister of the Ministry of Intergovernmental Affairs. She has held the position of Assistant Deputy Minister at the Ministry of Health in the Corporate Services Group, and at Management Board Secretariat in both the Program Management and Estimates Division and the Broader Public Sector Labour Relations Secretariat. Ms. Bouey was previously a director at the Ontario Financing Authority and is currently Governor at the Canadian Comprehensive Auditing Foundation.
